Carpendolo (BS), December 13, 2024 – Palingeo S.p.A. (hereinafter “Palingeo” or the “Company”) – a leading company in the fields of geotechnics and geognostics for the construction of civil works, listed on the Euronext Growth Milan market, announces that during the First Exercise Period of the “Warrant Palingeo 2024-2026”, ISIN code IT0005575573 (the “Warrants”), which ended today and covered the period from December 2, 2024, to December 13, 2024, inclusive, a total of 1,213,080 Warrants were exercised. Consequently, 303,270 newly issued Palingeo Shares, with no nominal value, regular entitlement, and the same characteristics as the Palingeo Ordinary Shares traded on Euronext Growth Milan at the date of issuance of the Compensatory Shares, were subscribed at a price of €5.50 per share (at a ratio of 1 Compensatory Share for every 4 Warrants held), for a total amount of €1,667,985.
As a result of the above, there are currently 5,729,120 Warrants in circulation, which can be exercised during the subsequent exercise periods between December 1, 2025, and December 15, 2025 (Second Exercise Period) and between December 1, 2026, and December 15, 2026 (Third Exercise Period), as provided for in the “Warrant Palingeo 2024-2026” Regulation.
The issuance and availability for trading, through Monte Titoli S.p.A., of the Compensatory Shares subscribed by the Warrant holders during the First Exercise Period will take place on the next open market day following the end of the last day of the First Exercise Period.
